问： 我抵押后在银行贷款30万，有自酬资金20万，共有资金50万作为公司注册资金，那么在“资检”的过程中，发现我的30万为贷款的，那么我的公司是否属于“虚假注册”呢？
答：法律只要求股东实际出资，且不抽逃出资，并不管股东资金系自有资金，还是贷款。因此，即使发现你有部分资金系贷款，也不能简单地认为是虚假出资。但是有一点需明确，贷款是股东所为，应当亦由股东偿还，不应由公司偿还。(上海市浩华律师事务所 杨春宝律师)
